Welcome to EventPro. By accessing or using our platform, website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by the following Terms of Service (the "Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Acceptance: By creating an account, registering for an event, or using any part of the Services, you accept these Terms in full. If you do not agree, you may not use the Services.

1. Account Registration

  • Eligibility: You must be at least 18 years old or have parental consent to use the Services. Organizations must be legally registered entities.
  • Account Information: You agree to provide accurate, current, and complete information during registration and to update it as needed.
  • Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
  • Multiple Accounts: You may not create more than one account without our explicit permission.

2. Use of Services

  • Permitted Use: You may use the Services for your internal business purposes, event management, and member engagement in accordance with these Terms.
  • Prohibited Activities: You agree not to:
    • Use the Services for any unlawful purpose or in violation of applicable laws.

  • Data Backup: You are responsible for maintaining your own backups of data. EventPro performs regular backups but does not guarantee against data loss.

4. Intellectual Property

  • Ownership: The Services, including all code, design, logos, trademarks, and underlying technology, are the exclusive property of EventPro and its licensors. You may not copy, modify, decompile, or reverse engineer any part of the Services.
  • Feedback: Any suggestions or feedback you provide about the Services may be used by EventPro without obligation or compensation to you.

5. Fees and Payments

  • Subscription Fees: Some Services require payment of subscription or transaction fees. All fees are non-refundable except as expressly stated.
  • Payment Processing: Payments are processed through third-party payment providers. You agree to comply with their terms and conditions.
  • Changes: We may change fees upon notice. Continued use after the change constitutes acceptance of the new fees.

6. Termination

  • By You: You may terminate your account at any time by contacting us or through the account settings. Upon termination, your access to the Services will cease.
  • By Us: We may suspend or terminate your account immediately for breach of these Terms, non-payment, or any other reason we deem necessary. We will provide notice where practical.

Our total liability for any claim arising from these Terms or the Services is limited to the amount you paid to us in the preceding 12 months.

8. Indemnification

You agree to indemnify and hold EventPro and its affiliates harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any rights of third parties.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the United Republic of Tanzania, without regard to its conflict of laws principles.
  • Dispute Resolution: Any disputes arising out of these Terms will be resolved through binding arbitration in accordance with the rules of the Tanzania Arbitration Centre, or through mutually agreed alternative dispute resolution. The arbitration will take place in Dar es Salaam, and the language of the proceedings will be English.
  • Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

10. Changes to These Terms

  • We may update these Terms from time to time. We will notify you of significant changes via email, in-app notifications, or website banners.
  • Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

11. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and EventPro regarding the Services, superseding all prior agreements.
  • Severability: If any provision is found to be unenforceable, the remaining provisions remain in full force.

  • Assignment: You may not assign these Terms without our prior written consent. We may assign them without restriction.
